You’re creating on Whop, which means…

You keep ownership, and what Whop takes in exchange is a licence that is “royalty-free, non-exclusive, sublicensable, worldwide”, reaches “all formats and channels now known or later developed”, names no end date, and ends its list of verbs on “prepare derivative works”. And this document is only the entrance: sell here and the Seller Terms bind you too; earn through an affiliate or bounty and so do the Earnings Terms.

What they own

Nothing you made. The terms say it plainly: “You keep any copyright and other ownership rights that you have in the User Content you post to the Service, subject to the licenses granted in these Terms.” What Whop owns is the platform — it and its “Providers” keep all rights in the Service, “excluding the Products.”

What you own

Your content and the products you sell. The licence you grant is “non-exclusive”, so the same work — the document’s own list is “product images, descriptions, reviews, streams and other works” — can be listed and sold elsewhere at the same time. You also carry the whole risk on it: you must hold every right you need to post it, and “Whop disclaims any liability in connection with user content—you are solely responsible for what you post and the consequences of posting it.”

What you don't

The rest of the contract. This document points you at the Buyer Terms, the Seller Terms, the Prohibited Products Policy, the Earnings Terms, the Developer Terms and the Ads Terms, then says “All Additional Terms are incorporated by this reference into, and made a part of, these Terms”, and that where they conflict “the Additional Terms will govern for that feature or Product”. You also don't control your money on the way out: on termination Whop may offset your balance, refund your buyers out of it, and let whatever survives go to escheatment.

What they can do with it

“use, copy, reproduce, store, publicly display, publicly perform, transmit, distribute, modify for formatting purposes, and prepare derivative works” — worldwide, “royalty-free”, “sublicensable”, and covering “all formats and channels now known or later developed”. If you sell access to a Discord community, you separately “agree to grant Whop management rights to your Community, including the ability to add or remove Community members”.

The clauses

This document is the entrance, not the deal

Whop Terms of Service — Section 6, Services and Offerings; Section 17, General Terms (Additional Terms). Last Updated: December 23, 2025. ↗

Using Whop is free, but fees may apply to certain transactions and services as described in our Buyer Terms and Seller Terms . We may update our fee structure from time to time by revising those terms. … Our Buyer Terms (incorporated by reference into these Terms of Service) describe your rights, responsibilities, and fees. … Our Seller Terms and Prohibited Products Policy (both incorporated by reference into these Terms of Service) describe your rights, responsibilities, and fees. … Whop offers programs that let you earn money by participating in the community. Our Earnings Terms cover our Affiliate Program, Bounty Program, and other ways to earn on Whop. … If you use our API to build apps, integrations, or tools on or off Whop, our Developer Terms apply. … Whop offers advertising tools that let you promote your business on and off of Whop, subject to our Ads Terms . … Your use of the Service is subject to all additional terms, policies, rules, or guidelines applicable to the Service or certain features of the Service that we may post on or link to from the Service (the “Additional Terms”). The purchase or sale of certain Products may also require Additional Terms. All Additional Terms are incorporated by this reference into, and made a part of, these Terms. If any Additional Terms conflict with these Terms for a particular feature or Product, the Additional Terms will govern for that feature or Product.

Who is bound, and by which one

Sell on Whop and the Seller Terms bind you — Section 6 says so in its own words, “both incorporated by reference into these Terms of Service”, the same parenthetical it gives the Buyer Terms. The Earnings Terms carry no such phrase, and the sentence naming them turns on earning through “our Affiliate Program, Bounty Program, and other ways to earn on Whop”, not on selling. Section 17 scopes Additional Terms to those “applicable to the Service or certain features of the Service” — so the trigger is the feature you use. Nothing is asserted here about what any of those documents say.

Where the money is defined

The fee references in this document are pointers, not figures. Fees “may apply to certain transactions and services as described in our Buyer Terms and Seller Terms”, and Whop can change the fee structure “by revising those terms” — which is to say, by editing a document you are not reading.

The later terms win

Where an Additional Term conflicts with what you just read, the Additional Term governs for that feature or Product. Everything in this contract is a floor, not a ceiling.

The legal menu you scrolled past

The legal menu at the top of this page lists ten documents alongside the Terms of Service: Privacy Policy, Buyer Terms, Seller Terms, Earnings Terms, Whop Ads Terms, Spend Card Terms, Developer Terms, Community guidelines, Prohibited Products & Services, and Youth Safety Policy. The phrase “Spend Card” appears exactly once in this entire file — in that menu. The contract body never mentions it.

The grant

Whop Terms of Service — Section 8, User Content ↗

You keep any copyright and other ownership rights that you have in the User Content you post to the Service, subject to the licenses granted in these Terms. Your to license to us. You keep full ownership of your content and what you post on Whop, but we need licenses from you for this material to operate Whop's services. By making content available on Whop or otherwise posting on the platform, you grant us a royalty-free, non-exclusive, sublicensable, worldwide license covering your content in all formats and channels now known or later developed to use, copy, reproduce, store, publicly display, publicly perform, transmit, distribute, modify for formatting purposes, and prepare derivative works. This sounds like a lot, but it's important for us to operate our services, including hosting your content, facilitating sales, promoting your offerings, and enabling community features.

Which way the grant runs

“you grant us” — this is the licence you give Whop. “non-exclusive” sits on that side of it, which makes it the reassuring word: the same product can be listed and sold on any other platform at the same time.

Where the qualifier sits

“modify for formatting purposes” is a narrowed permission, and it is worth noticing how narrow. But read the next verb: “prepare derivative works” carries no qualifier at all. The limit attaches to modification, not to the making of new work from yours.

Three words that are missing

The strings “perpetual”, “irrevocable” and “transferable” appear zero times in this document. The only thing described as irrevocable anywhere in it is your waiver of a jury trial, in Section 15. The licence itself is “sublicensable”, so Whop can pass the rights along. “Transferable” is absent from Section 8 — but Section 17 says these Terms “may be assigned by us without restriction”, and the licence sits inside them.

No end date is named

The clause says when the licence starts and never says when it stops. Section 10's survival list names Sections 10, 11, 12, 13, 14, 15 and 17 — Section 8 is not among them. What the document does say is that on termination Whop states that “we reserve the right to delete any User Content or data linked to your Account”, and that you are “solely responsible for keeping copies” of it.

A typo, and what it sits over

The subheading reads “Your to license to us.” It is the heading sitting over the grant itself — the paragraph in this section that actually moves rights.

Your Discord, run by them

Whop Terms of Service — Section 18, Discord Management Addendum ↗

If you are a Seller, the Service may permit you to make access to your discord community (“Community”) available to Buyers. … If you are a Seller, you agree to grant Whop management rights to your Community, including the ability to add or remove Community members as necessary to provide this feature to you. … If you are a Buyer, you agree to link your discord account to your account on the Service and to allow Whop to add you to the Communities you have purchased access to. Your discord account will be deemed a Linked Account under these Terms. … Whop is not responsible for content or conduct within any Discord Community and only facilitates access. Discord’s own terms and moderation policies apply.

This is a real grant, and it isn't about content

Membership control of your own community moves to Whop for as long as you use the feature. Adding and removing members is the substance of running a Discord server, and it is what you are agreeing to hand over.

Responsibility does not move with it

Whop takes the management rights and disclaims responsibility for what happens inside. Read the two sentences together: control on one side, liability on yours.

Three addenda sit at the back

Section 18 also carries a Software Access Addendum and a Software Rental Addendum, both of which oblige Sellers and Buyers to grant licences onward to other users. They are inside this document, in Section 18, after the arbitration and copyright sections.

What happens to your balance when they close you

Whop Terms of Service — Section 10, Termination (Your Account Balance After Termination) ↗

Loss of access to User Content – Once your account is terminated, you may lose access to any User Content you posted to the Service. You are solely responsible for keeping copies of any User Content you posted to the Service. … We may terminate or suspend your Whop account (and any related accounts) at any time, with or without notice, if you violate these Terms, any Whop policy, or for any other reason, at our sole discretion. … If your account is terminated or suspended, we may first use any funds in your account to cover damages, chargebacks, fees, fines, or other amounts you owe to us or our Financial Partners. We may also, at our discretion, refund buyers who purchased products or services from you that were not delivered due to your account termination. … After any offsets or refunds, any remaining funds held by our payment partners on your behalf will be handled according to their policies on unclaimed or abandoned property, including state escheatment laws. … We will not be liable to you or to any third party for any losses, claims, or damages of any kind arising out of or relating to Whop’s exercise of any rights under this Section 10, including any decision to offset, refund, forfeit, escheat, or withhold funds.

“or for any other reason”

The termination power does not require a breach. It is discretionary, can happen without notice, and reaches “any related accounts” alongside the one that triggered it.

Your balance pays the bill first

Money sitting in your Whop Balance can be used to cover fees, fines, chargebacks and buyer refunds before any of it reaches you. Whop's own terms note that the Balance “is not FDIC insured in the United States.”

Escheatment

Escheatment is the legal process by which unclaimed money passes to a state government. What is left after offsets and refunds is handled under the payment partners' unclaimed-property policies, not returned to you as of right.

And no claim about any of it

The section ends by excluding liability for every decision it just authorised — offset, refund, forfeit, escheat, withhold.

What it's worth, and how you'd have to argue it

Whop Terms of Service — Section 14, Limitation of Liability; Section 15, Dispute Resolution and Arbitration ↗

Our total liability for all claims under these Terms is limited to the greater of: (a) the amount you paid us in the 12 months before the claim, or (b) $100. You must bring any claim within one year of the event giving rise to the dispute. After that, you permanently waive the right to pursue any claim related to those events. … You and us agree to resolve any claims arising out of or relating to these Terms or our Services, regardless of when the claim arose, even if it was before these Terms existed (a "Dispute"), through final and binding arbitration. You may opt out of arbitration within 30 days of account creation by sending written notice to: Whop Inc., 300 Kent Ave #401, Brooklyn, NY 11249. If you opt out of an update, the last set of agreed upon arbitration terms will apply. … Class arbitrations, class actions, and representative actions are prohibited. … You and us knowingly and irrevocably waive any right to trial by jury in any action, proceeding, or counterclaim.

It's a floor, not a cap

Read it exactly: the greater of what you paid and $100. This is not a flat $100 limit — if you paid Whop more than $100 in the twelve months before the claim, that larger figure is the ceiling. For someone who has paid nothing, $100 is the whole value of the relationship in damages.

The opt-out window, and the sentence after it

On the face of it the window runs 30 days from when you created the account, not from when the terms changed, and it closes by post to a Brooklyn address. The very next sentence complicates that: “If you opt out of an update, the last set of agreed upon arbitration terms will apply.” It contemplates opting out of an update — which a window measured only from account creation would never reach. The document does not say how the two fit together.

It reaches backwards

Arbitration covers claims “regardless of when the claim arose, even if it was before these Terms existed”. A dispute predating this version of the contract is pulled into it.

The one irrevocable thing

The string “irrevocable” appears nowhere in this document; “irrevocably” appears once, and it is here, attached to your waiver of a jury trial. The licence over your work carries neither word.
