You’re creating on Descript, which means…

You own the recordings, the prompts and whatever the AI hands back — and the licence you hand Descript on all of that is perpetual and irrevocable in its own words, before any survival clause is needed; the AI voice built from your recordings is a separate object the contract never says you own.

What they own

Nothing you make. Section 8.2 opens flat: “We claim no ownership rights in your User Content.” The AI section says it again for anything you type in and anything generated back — “you own all right, title, and interest in and to any Input and Output”. Two things run the other way. Feedback is not licensed but assigned: Descript is “the sole owner of all Feedback”. And the AI Voice trained on your recordings is never handed to you — Section 6 puts “all content and materials contained therein other than any User Content” with Descript.

What you own

Copyright in your recordings, transcripts, prompts and outputs. The licence you give back is nonexclusive, so the same audio can still be sold, licensed or posted anywhere else. Descript is candid that owning an AI output may be worth less than it sounds: “copyright status of the generated Output may not be clear”, and similar prompts can produce similar results for someone else.

What you don't

A way to take it back. The Section 8.2 licence is “perpetual, irrevocable, nonexclusive, royalty-free, sublicensable, fully paid, worldwide”, and it reaches “any name, username or likeness provided in connection with your User Content”. Nothing in these Terms lets you undo it: the words “withdraw” and “revoke” appear nowhere in the document. Nor is there a clause about deleting your account — the deletion sentence sits in Section 17 and runs off Descript terminating you, while the only thing Section 23 gives you is the right “to stop using the Descript Service at any time”, with no consequence attached to it. And the voice model is not yours to begin with.

What they can do with it

Copy it, cut it into something new, publish it, perform it, adapt it, analyse it — “in all media formats and channels now known or later developed without compensation to you or a third party”. Three things pull the other way and all three sit in that same sentence: the licence is nonexclusive, it is granted “to provide, maintain, and improve the Descript Service”, and the proviso hands your Projects to Section 9, which treats them as your “Confidential Information” in Descript's hands. Separately, they may train their own models on your inputs and outputs “unless you have opted out”, and staff and crowd workers may listen to your training audio.

The clauses

The grant

Descript Terms of Service — Section 8.2, License to User Content. Last Updated February 25, 2025. ↗

We claim no ownership rights in your User Content. You hereby grant to us a perpetual, irrevocable, nonexclusive, royalty-free, sublicensable, fully paid, worldwide license to create derivative works from, access, reproduce, distribute, process, publish, display, perform, adapt, modify, analyze, and otherwise use the User Content and any name, username or likeness provided in connection with your User Content in all media formats and channels now known or later developed without compensation to you or a third party to provide, maintain, and improve the Descript Service; provided that our use of any Projects you create is subject to the usage limitations and confidentiality obligations set forth in Section 9 below.

Perpetual and irrevocable

Both words, in the same clause. There is no end date and no mechanism anywhere in these terms to withdraw the licence. Each word appears exactly once in this document, and this sentence is where.

This clause needs no survival clause

A licence that is already perpetual and irrevocable outlives the agreement on its own terms. Section 22 also names Section 8 on its survival list, but that is belt-and-braces here — the survival list is doing real work for the other sections it names, not for this one.

Your name and your face

The sentence does not stop at your files. It reaches “any name, username or likeness provided in connection with your User Content” — you, not just your work, on the same terms.

Formats that do not exist yet

The phrase “now known or later developed” means the licence is not limited to the media you uploaded into. Whatever the distribution channel turns out to be, this grant already covers it.

Three limits, not one

The licence is nonexclusive, so you keep the right to license the same material elsewhere. Its stated purpose is narrow — “to provide, maintain, and improve the Descript Service”. Both of those sit before the sentence's single semicolon. Only the third, the proviso handing Projects to Section 9's confidentiality rules, sits after it.

Read which way it points

This one reads “You hereby grant to us”. Section 5.1 says the opposite — “we hereby grant to you a limited, nonexclusive, nontransferable, non-sub-licensable, revocable license” to use the app. Theirs to you is revocable and cannot be passed on. Yours to them is neither.

Your files, treated as your confidential information

Descript Terms of Service — Section 9.2, Confidentiality. ↗

Except as otherwise provided in these Terms, we treat your Projects and the User Content contained therein (including audio and video files and written documents) as your "Confidential Information" in accordance with the terms of this Section 9.2. We will not, without your consent, use the Confidential Information other than for the Permitted Purposes or disclose the Confidential Information to any third party other than to our officers, directors, employees, agents, assigns, consultants, contractors, service providers, representatives or affiliated entities who need to access such Confidential Information in connection with the Permitted Purpose and who are bound by confidentiality obligations to protect the confidentiality of such information or as required by law.

The counterweight

This is the clause that does the most work for you in the whole contract, and it is the reason the licence above is less alarming than its adjectives. Your raw footage is contractually your secret, not Descript's asset.

Where it stops

It opens with “Except as otherwise provided in these Terms”. Anything another clause already permits is outside the promise, and Section 9.2 also carves out content that has become publicly known, including if you designate a Project as “public”.

Who can still see it

The list of people it may be disclosed to runs to officers, employees, agents, assigns, consultants, contractors, service providers and affiliated entities — each bound by confidentiality, and none of them named.

What leaving does not end

Descript Terms of Service — Section 17, Termination; Section 22, General Provisions; Section 23, Modifying and Terminating Descript. ↗

Notwithstanding any of these Terms, we reserve the right, without notice and in our sole discretion, to terminate or suspend your account and your license to use the Descript Service, and to block or prevent future your access to and use of the Descript Service at any time with or without cause. Upon any termination of your right to access or use the Descript Service, you will cease all use of the Descript Service , and we will delete all of the User Content that may be stored in connection with the Descript Service. You are solely responsible for making backup copies of any User Content.

…

Notwithstanding any other provisions of these Terms, Sections 4, 6, 7, 8, 9.1, 9.2, 10, 11, 12, 13, 14, 15, 16, 17, 19, 20, 21, 22, 23, and 24 survive any expiration or termination of these terms.

…

We may modify or stop providing any and all features of the Descript Service at any time. You also have the right to stop using the Descript Service at any time.

Deletion runs one way, and it is theirs to trigger

The deletion sentence sits inside the termination clause and follows from Descript ending your access. Nothing here is a delete-my-account button, and nothing here retires the licence you granted in Section 8.2.

The only exit you are given

Section 23 says “You also have the right to stop using the Descript Service at any time” and attaches no consequence to it — no deletion, no wind-down, no effect on the licence. There is no user-account-deletion clause anywhere in this document.

With or without cause

The account can be terminated without notice and without a reason. Combined with the deletion sentence, the only copy you can rely on is the one you made yourself.

The list is precise about Section 9, and only Section 9

Every other entry is a whole section. Section 9 is the one place the drafters went to subsections — they wrote “9.1, 9.2” and stopped. Section 9.3, the AI voice consent, is the only numbered subsection in the contract left off the list.

The numbers do not match the headers

From Section 15 on, this document contradicts itself. The liability cap sits under the header “15. Limitation of Liability” but calls itself “THE LIMITATIONS SET FORTH IN THIS SECTION 16”; the header “19. Binding Arbitration” covers a body that says “this Section 20”. A reader who opens Section 16 by its header finds the Release. Read the body text, not the numbering.

Your voice, and who owns the model built from it

Descript Terms of Service — Section 6, Ownership; Trademarks, and Section 9.3, Use of AI Speakers, subsections (a), (c) and (d). ↗

Ownership of the Descript Service, and all content and materials contained therein other than any User Content (as defined below), are owned solely by us or our licensees

…

An “AI Voice” is an AI model trained on voice recordings of a Consenting Speaker.

…

By reading the Consent Statement or otherwise submitting Training Audio to us, you consent (and represent and warrant that you have the right to use such Consenting Speaker’s AI Voice and that you have obtained the consent of all Consenting Speakers) to our use and storage of such Training Audio as follows:

…

(a) to use your voice, and the voice of any Consenting Speakers, to train an AI Voice, to synthesize and otherwise use such voices as described herein, and to otherwise operate the Descript Service;

…

our employees, vendors, and contractors ( including Amazon Mechanical Turk workers) may listen to audio samples of your Training Audio and your synthesized audio in order to test the quality of your AI Voices and monitor for potential misuse of our voice cloning technology; and

(d) our employees, vendors, and contractors (including Amazon Mechanical Turk workers) may use your AI Voices to create a series of non-defamatory utterances, solely for internal quality assurance purposes.

…

Other than as described above, only you, and people you explicitly share access with, will have access to generate synthesized audio using your AI Voice. We will not share your Training Audio or your AI Voice with third parties except as expressly described above and in our Privacy Policy

The model is a different thing from the recording

Your Training Audio is User Content and you own it. The AI Voice is defined as “an AI model trained on voice recordings of a Consenting Speaker” — a thing Descript builds and runs. No clause in this document says you own it. “You own” appears three times in the whole contract: once for Input and Output, once for a copyright you already held, once for an Apple device. Never for an AI Voice.

This is a consent, not a licence

Section 9.3 grants nothing and carries none of the words from Section 8.2. What you give is consent “to our use and storage of such Training Audio”. The adjectives on the User Content licence do not travel here — “perpetual”, “irrevocable” and “worldwide” appear once each in this document, all three in Section 8.2.

And the survival list leaves it out

Section 22 names 9.1 and 9.2 by subsection and does not name 9.3. On the voice consent the contract does the opposite of what it does on the licence: one is stated to survive, the other is not.

Humans, named

Most contracts hide the humans behind a faceless category of staff. This one names Amazon Mechanical Turk workers, twice. Crowd workers may listen to your training audio and to speech synthesised in your voice.

They can make it say things

Subsection (d) lets staff and contractors generate new utterances in your cloned voice. The stated limits are that they be non-defamatory and for internal quality assurance, and that the voice is not shared beyond that.

The consent runs through you

You warrant that every Consenting Speaker agreed. If you submit someone else's voice without it, the indemnity in Section 13 puts the cost of that on you.

What you type in, and what comes back

Descript Terms of Service — Section 8.4(a) and 8.4(e), Generated Output. ↗

Both Input and Output are considered User Content under these Terms, and as between you and Descript, you own all right, title, and interest in and to any Input and Output, to the extent protectable under applicable law.

…

This includes use by Descript to train, improve, and develop its  models and technologies (unless you have opted out of such use) and the Descript Service and for other research and development purposes. However, our agreements with Third-Party Providers prohibits them from using such Inputs and Outputs to train their models.

Inputs are User Content

Which means the perpetual, irrevocable licence in Section 8.2 reaches your prompts as well as your footage. You own them; the licence covers them.

Opt out, not opt in

Descript may train its own models on your inputs and outputs until you turn that off. The contract does not say where the setting is or what the default is.

The vendors are fenced

Third-party AI providers can access your inputs and outputs to run the feature, but Descript's agreements with them “prohibits them from using such Inputs and Outputs to train their models”. That limit binds the vendors, not Descript.

Feedback, assigned rather than licensed

Descript Terms of Service — Section 7, Feedback. ↗

you agree that such Feedback is the confidential information of ours and we are the sole owner of all Feedback, including all patent, copyright, trademark, trade secret and other intellectual property rights therein, and may use and implement such Feedback in whole or in part without any notice or attribution, payment or other compensation, to you or any third party. You hereby assign to us all right, title and interest you may have in and to all Feedback.

Assign, not license

A licence lends; an assignment transfers. This clause moves ownership of the idea outright, and it is the only place in the contract where that happens — “assign to us” appears once.

It is broad on purpose

It reaches “any questions, comments, suggestions, opinions, observations, usage information, or feedback” — a support ticket and a product idea are treated the same way.

And you may be asked to sign for it

The clause also commits you to “execute such documents and take, at our expense, such actions as we may reasonably request” to perfect Descript's ownership. Beta users agree to supply feedback as a condition of access, and it lands here too.
